Core Benefits of Acquiring an Existing Business

Entrepreneurs and corporate investors prioritize acquiring existing shelf entities for five primary reasons:

The Step-by-Step Ownership Transfer Process

Acquiring an existing business in the UAE follows a regulated legal procedure designed to ensure complete protection for the incoming shareholder:

1. Initial Assessment & Entity Selection: Identifying the ideal jurisdiction, license age, business activities, and banking requirements.
2. Legal Due Diligence: Conducting an independent financial audit, verifying zero liabilities with banks, suppliers, and government authorities.
3. Drafting the Share Sale Agreement: Formulating legal share purchase deeds, amended Memorandums of Association (MOA), and indemnity guarantees.
4. Official Authority Approval: Submitting the ownership transfer application to the relevant DED Mainland department or Free Zone Authority.
5. Notarization & Execution: Signing the transfer before the Dubai Notary Public or Free Zone legal registrar.
6. Issuance of Amended Trade License: The licensing authority issues the new commercial license reflecting the incoming owner as 100% shareholder.
7. Banking & Visa Transition: Updating bank account signatory mandates, processing investor residency visas, and updating corporate tax accounts.

Essential Due Diligence & Financial Liability Audits

The most vital phase of any company acquisition is ensuring the company is completely free of hidden debts, legal liabilities, and regulatory penalties. Buyers must mandate an up-to-date financial audit signed by an accredited UAE auditor.
